Private Platform User Agreement
OMNIFICENTLY™ private production workspace
Version 2026-10-19.1 · Effective 19 October 2026
1. Agreement and purpose
By selecting the required acknowledgements and submitting the acceptance form, you agree to these terms for your access to the OMNIFICENTLY production workspace. The workspace is provided for invited project review, creative collaboration and production discussions. The workspace is operated by James Von, operating as OMNIFICENTLY. The production administrator and contact is James Von at info@omnificently.com. You must have legal capacity to accept this agreement. If acting for an organization, you must be authorized to do so.
2. Personal access and assigned authority
Your invitation and account are personal to you. Use only your own account and the access assigned to your role. Do not share credentials, transfer invitations, impersonate another person, bypass access controls or obtain material outside your permissions. Production administration may change or end access when your involvement or project needs change, or when necessary to investigate misuse or protect the project.
Access, a role title or an invitation does not by itself appoint you to a paid position, grant ownership or equity, authorize an investment offer, or authorize you to bind the production to a contract. Contracting and spending authority must be granted separately in writing. Any acting engagement, producer appointment, investment or other commercial arrangement requires its own written agreement.
3. Limited permission to review and collaborate
While your access is authorized, you may view the material made available to your role and use the workspace's permitted review, comment and revision functions solely for this project. If the production enables a download or print function for you, you may retain a reasonable private working copy for that same authorized purpose, keeping all rights notices and identifying marks intact. This is a limited, personal, non-transferable permission. It does not authorize public distribution or use in another production.
4. Confidential project information
Keep non-public project information confidential and use it only for your authorized project purpose. This includes screenplays, treatments, dialogue, character and story development, unpublished concepts and research, artwork, audiovisual material, production plans, budgets, commercial discussions, contact information, credentials, private comments and other material marked confidential or reasonably understood to be confidential.
Without prior written permission from an authorized production representative, do not share, publish, sell, license, adapt, distribute or otherwise exploit confidential material outside that purpose. Do not upload it to a public website, social account, open file-sharing service, external AI system or other third-party tool outside an expressly approved project workflow. Do not remove identifying marks or attempt to avoid copy or access restrictions. An enabled download does not authorize forwarding the file to someone else.
If you are authorized to invite potential collaborators, producers or investors, use the approved invitation process and the role permissions assigned to you. New participants must accept the required agreements before accessing private material. Do not forward someone else's access link or send restricted documents as an alternative to that process.
5. Confidentiality exceptions and required disclosures
The confidentiality obligation does not apply to information you can demonstrate was lawfully known to you without a duty of confidence, becomes public without a breach of an obligation, is independently developed without using confidential project material, or is lawfully received from someone entitled to disclose it. If disclosure is legally required, limit it to what is required and, where lawful, promptly inform production administration so protective steps can be considered. Nothing in this agreement prevents a lawful report to a regulator, law enforcement or another protected disclosure.
Confidentiality continues after account access ends for as long as the relevant information remains confidential. On request, stop using project material and return or delete working copies, except for records you are legally required to keep or a confidential copy reasonably needed for legal advice or evidence of your rights and obligations.
6. Ownership, brand and reserved rights
All rights in original project materials remain with their respective owners or licensors. No ownership transfer is created by access to this platform. OMNIFICENTLY™ is the project's trade name and brand. The ™ notice indicates a claimed mark and does not represent completed trademark registration. You must not present yourself, a product or another production as endorsed by or officially associated with OMNIFICENTLY without written authorization.
All rights reserved. These terms protect confidential disclosures and permitted use of project material; they do not claim ownership of general ideas, historical facts, public-domain material, independently created work or another person's pre-existing rights.
7. Your comments and proposed revisions
You retain any rights you hold in original material you contribute, subject to any separate agreement already in force. By deliberately submitting a comment, proposed line, scene revision or other contribution to this workspace, you give the production a non-exclusive permission to store it, attribute it to your account, share it with authorized project collaborators, compare and edit it, and incorporate it into internal project drafts solely for development and review. Necessary confidential archival copies may be retained to document the collaboration and its decisions.
This limited permission does not grant public release, filming, performance, merchandising, synthetic voice or likeness rights, and does not assign your copyright or waive moral rights. Any rights needed for production or distribution, together with credit, compensation and approved uses, must be recorded in a separate written contributor or participation agreement before that use occurs. A proposed change is not automatically approved for the master screenplay.
Submit material you are entitled to share and identify any third-party material or limits on its use. Do not submit confidential information belonging to another project. A personal or family account, cultural knowledge, community story, name, language contribution, image or recording may require permission beyond that of the person uploading it. Platform acceptance does not authorize use of a Nation's knowledge, restricted traditions or community identity, or establish the truth of a biographical or historical claim.
8. Respectful collaboration and review
Keep discussion relevant and respectful. Distinguish factual corrections, personal preferences and fictional proposals. Production administration may moderate material, preserve revision history and resolve competing edits. Permissions to review or approve creative work do not give access to unrelated personal or confidential business information.
9. Security and suspected misuse
Report an exposed invitation, lost credential, unauthorized disclosure or suspected misuse promptly to info@omnificently.com. We may suspend access, preserve relevant evidence and pursue remedies available under applicable law. These terms do not promise that copying or misuse can be technically prevented, or that any particular remedy will be available.
10. Privacy and electronic records
We handle personal information as described in the Privacy Policy. You agree to receive this agreement electronically and to record your acceptance through the designated form. The production retains the account identity, time of acceptance, document versions and acknowledgement accepted as evidence of the agreement. You may save or request a copy of the terms you accepted.
11. Changes, other agreements and law
Material changes to these platform obligations require fresh acceptance before continued private access where applicable. A separate signed agreement governs its specific subject matter if it conflicts with this agreement. No platform notice replaces a contributor, performer, production, location, community or investment agreement.
This agreement is governed by the laws of Alberta and the applicable federal laws of Canada, subject to mandatory protections that cannot be excluded by agreement. If a provision cannot be enforced, the remaining provisions continue to the extent permitted by law. Nothing here waives a right that applicable law does not allow to be waived.
